User Terms and Conditions

Welcome to Showroom!

We believe that people are creative. Therefore, we have built Showroom to enable everyone interested in brands, marketing, and social media to become micro-influencers—to become a creator!

In our app, people can sign up and get the opportunity to publish commercial advertisements and/or marketing campaigns on their social media platforms on behalf of companies in exchange for compensation.

These User Terms and Conditions govern the use of Showroom. We have tried to make them as clear and easy to understand as possible. Unfortunately, different legal requirements make this a difficult task. Therefore, if you have any questions or concerns, please feel free to contact us directly.

1. Introduction

Showroom is accessed by downloading the Showroom user device application from the iTunes App Store (for iOS users) or through any other online portal depending on the operating system at hand (the “App”).

The App provides a digital service and marketing platform where users can access commercial advertisements and marketing material from companies, available to share and post on users’ social media accounts.

The App is owned and provided by Morning Venture One AB, org. no 559483-1694, a company incorporated and registered under the laws of Sweden (“Showroom”).

These Terms and Conditions (“Terms”) apply to all users who register for a user account in the App (“Users”).

Users who publish marketing content on their social media accounts on behalf of a company are referred to as “Creators.”

Users who create marketing campaigns on the platform to be published on social media are referred to as “Brands.”

By registering, the User accepts these Terms, which constitute binding terms for the contractual relationship between the User and Showroom. The Terms may be amended from time to time after notice by Showroom to the Users. However, it is the User’s responsibility to stay updated on the Terms at all times.

2. Use of the app

By registering and accepting these Terms, the User can access the App and its included functions.

All Brands must enter into an agreement with Showroom to use the App and upload marketing campaigns (referred to as “Ads” or an “Ad”) to be published on Creators’ social media accounts.

An Ad may either consist of content created by the Brand or be created by the Creator based on an ad brief provided by the Brand.

After the brief is published in the App, Creators may apply to the Brand to be given the right to publish the Ad in exchange for monetary compensation.

By applying for a campaign, the Creator agrees that the Brand has the right to use the created material in its own marketing channels for up to 12 months after the campaign starts.

Once the Creator has published the Ad and it has been available for at least seven (7) days, the Creator is entitled to compensation based on their social media value in the App or as specified in the ad brief.

3. Users

A Creator must be over the age of 18.

Showroom does not take responsibility for the content of Ads. It is the Brand’s responsibility to ensure compliance with applicable laws and marketing ethics.

Users may terminate their accounts at any time.

Showroom may restrict, close, or terminate a User’s account without notice if the User violates the Terms or misuses the App.

Users must not register more than one Showroom account.

Users must not use another User’s account.

Users must connect their social media profile to the App. Showroom will access this information to calculate social media value and connect Users to campaigns.

4. Accessibility

The App is intended to be available 24/7, but Showroom reserves the right to:

Shut down the App for updates or maintenance.

Take no responsibility for downtime caused by internet issues, server malfunctions, or third-party services.

5. Contractual relationship

Showroom is a digital marketplace where Brands and Creators can interact.

Brands upload Ads, contract Creators, track engagement, and manage payments.

Creators apply for campaigns, publish Ads, and receive compensation.

When a Brand agrees to have a Creator publish an Ad, Showroom acts as an intermediary. Creators and Brands do not enter into direct agreements with each other.

6. Payments and tax

Payments to Creators are handled via PE Accounting.

Compensation is based on social media value, calculated from the Creator’s Instagram followers unless otherwise specified in the campaign brief.

Showroom handles tax withholding and social security fees for Creators in Sweden.

7. Liability

Showroom is not liable for damages related to App use, including indirect damages like loss of profits.

The App may contain links to third-party websites, for which Showroom is not responsible.

8. Intellectual property

All intellectual property in the App, including copyrights, belongs to Showroom.

Unauthorized use or access to content constitutes a breach of these Terms.

9. Personal data

Showroom values User privacy and complies with GDPR regulations.

10. Governing law and disputes

These Terms and the use of the App are governed by Swedish law.

Any disputes shall be settled by arbitration administered by the Arbitration Institute of the Stockholm Chamber of Commerce.
